Anix Apparel Brand Ambassador Agreement
This Brand Ambassador Agreement (“Agreement”) is entered into between Anix Global LLC dba Anix Apparel (“Anix Apparel”) and the individual or entity agreeing to these terms (“Ambassador”).
1. Purpose
The purpose of this Agreement is to outline the terms and conditions for the Ambassador’s participation in the Anix Apparel Brand Ambassador program. The Ambassador agrees to promote Anix Apparel products and brand image in exchange for the benefits outlined in this Agreement.
2. Ambassador Obligations The Ambassador agrees to:
- Promote Anix Apparel: Actively promote Anix Apparel and its products on their designated social media platforms and/or through other agreed-upon channels.
- Content Creation: Create high-quality, original content featuring Anix Apparel products. This content must be in good taste and consistent with the brand’s image.
- Follow Guidelines: Adhere to all brand guidelines, including but not limited to the use of logos, hashtags, and messaging, as provided by Anix Apparel.
- Disclosure: Clearly and conspicuously disclose their relationship with Anix Apparel in all promotional content, as required by law (e.g., using hashtags like
#ad,#AnixPartner, or#sponsored). - Non-Disparagement: Refrain from making any negative or disparaging comments about Anix Apparel, its products, or its competitors.
3. Anix Apparel’s Obligations Anix Apparel agrees to:
- Provide Products: Provide the Ambassador with a select number of products at no cost for promotional purposes.
- Provide a Discount Code: Provide the Ambassador with a unique discount code to share with their audience.
- Provide Commission: Pay the Ambassador a commission on sales generated through the Ambassador’s unique discount code, as detailed in Section 4.
- Brand Support: Provide brand guidelines, marketing materials, and other reasonable support to the Ambassador.
4. Compensation
- Commission: The Ambassador will earn a commission of 10% on all net sales generated from the use of their unique discount code. “Net sales” means the total sale amount after any discounts, returns, or taxes have been deducted.
- Payouts: Commissions will be paid on a monthly basis, within 15 days after the end of each calendar month. Payments will be made via PayPal or another agreed-upon method.
- Returns & Cancellations: No commission will be paid on returned or canceled orders. Any commission already paid on a returned or canceled order will be deducted from a future payout.
5. Term and Termination
- Term: This Agreement is effective on the date of its acceptance and will continue until terminated by either party.
- Termination by Ambassador: The Ambassador may terminate this Agreement at any time by providing 15 days’ written notice to Anix Apparel.
- Termination by Anix Apparel: Anix Apparel may terminate this Agreement at any time, with or without cause, by providing written notice to the Ambassador. This includes, but is not limited to, a breach of this Agreement by the Ambassador. Upon termination, all rights and obligations of both parties will cease, except for those that, by their nature, should survive termination.
6. Intellectual Property
- Content Rights: The Ambassador grants Anix Apparel a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and display all content created by the Ambassador in connection with this Agreement for marketing and promotional purposes.
- Brand Assets: The Ambassador’s use of Anix Apparel’s trademarks, logos, and other intellectual property is limited to the scope of this Agreement. The Ambassador agrees not to use Anix Apparel’s intellectual property in any way that would be misleading or imply a partnership beyond what is stated in this Agreement.
7. Confidentiality
The Ambassador agrees to keep all information related to Anix Apparel’s products, marketing strategies, and business operations confidential during the term of this Agreement and thereafter.
8. Independent Contractor Status
The Ambassador is an independent contractor, not an employee of Anix Apparel. The Ambassador is solely responsible for all taxes, liabilities, and expenses related to their services. The Ambassador has no authority to act on behalf of Anix Apparel or to bind Anix Apparel in any way.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, or representations. This Agreement may only be amended in writing and signed by both parties.
